These terms and conditions (the “Program Rules”) are provided by Laurel Road, a brand of KeyBank National Association (hereinafter referred to as “Laurel Road”, “we”, “us”, or “our”) to govern the use of the Laurel Road Perks! Program (the “Program”). “Customer”, “you” or “your” hereinafter shall mean the eligible Laurel Road Customer and shall include the plural as well as the singular wherever the context so permits. These Program Rules constitute the entire agreement between you and us regarding your participation in the Program.

By participating in the Program, you agree to be bound by these Program Rules.  From time to time we may change the Program Rules.  If you do not consent to these Program Rules, please do not access or take advantage of any of the Offers that are part of the Program. When a change is made to the Program Rules, we will post revisions at our website. Your continued participation in the Program will evidence your acceptance of the changes and your agreement to be bound by them.

We reserve the right to disqualify you from participation in the Program if you do not comply with these Program Rules, or we suspect misuse or fraudulent activity related to the Program. Further, we reserve the right to modify, cancel, or temporarily suspend the Program at any time without notice.

Laurel Road Perks! ^® Program

Under the Program, you may take advantage of offers to obtain certain discounts (“Offers”) on products and services (“products and services”) of participating third-party merchants (hereinafter “Merchant” and shall include the plural as well as the singular).  We may from time to time, provide additional Offers, such as through new Merchants.

Eligibility: Laurel Road Perks! for Doctors are available to current Laurel Road Members with an existing checking or savings account, credit card, student loan, personal loan, or mortgage who are physicians and dentists, including interns, residents, fellows, clinical professors, researchers, and managing physicians or dentists with one of the following qualifying medical or dental degrees: Doctor of Medicine, Doctor of Osteopathic Medicine, Doctor of Dental Surgery, Doctor of Medicine in Dentistry/Doctor of Dental Medicine, Doctor of Audiology, Doctor of Chiropractic, Doctor of Naturopathic Medicine, Doctor of Optometry, Doctor of Podiatry, or Doctor of Veterinary Medicine.

Merchants: Merchants are neither partner, agents or employees of Laurel Road, or any of its affiliates or subsidiaries; Merchants are not sponsors or co-sponsors of the Program. We neither offer, endorse nor guarantee any of the Merchant’s goods, services, information, or recommendations provided to you in connection with this Program and/or any Offer.

Merchants provide their own products and service description, and terms and conditions. Please review the terms and conditions that are provided by Merchants. Merchants are responsible for the quality and performance of any product or service they provide.  Laurel Road does not warrant that such product or service descriptions on Merchant’s site are accurate, complete, reliable, current, or error-free. Laurel Road is not responsible for any aspects of the Merchant’s products or services.

When taking advantage Offers on a Merchant’s website, the Merchants determine and are responsible for all aspects of their products and services , including without limitation: (i) product prices and availability, (ii) any applicable restrictions, (iii) estimated tax, (iv) estimated shipping, and all other product and service. Offers are subject to availability and certain restrictions may apply.

When taking advantage of any Offer, you are solely a customer of the Merchant.

Laurel Road is not responsible for, and has no duty, obligation, or liability regarding any disputes between you and Merchants relating to any Merchant products or services. All questions or disputes regarding the Merchant’s products and services shall be resolved by the Merchant.

Transferability: Program Offers are not transferable.  Bulk distribution or promotion of a Program link by means of automated system, script, or macro, or through any manner that would constitute or appear to constitute unsolicited telemarketing, commercial email or spam (in our sole discretion) is expressly prohibited and may be grounds for the deactivation of the link and disqualification of the Offer.

Governing Law: These Program Rules and Program are governed by the laws of the State of Ohio, without regard to its conflicts of law principles.  The Program is void where prohibited by federal, state or local law. If any provision of these Program Rules is invalid or unenforceable, such provision shall not affect the validity and enforceability of the remaining Program Rules.

Release and Indemnity: You hereby release and discharge Laurel Road, and its subsidiaries, affiliates, employees, officers, successors and assigns from all claims, damages or liability including but not limited to physical injury or death, arising out of participation in the Program and/or related to the Merchant products or services. You agree to indemnify, defend and hold harmless Laurel Road, its subsidiaries, affiliates, employees, officers, successors and assigns, harmless from and against all liabilities and costs incurred with any claim directly or indirectly arising out of or related to your participation in the Program, including without limitation participation in any Offer.

Limitation of Liability: Neither Laurel Road, its subsidiaries, affiliates, employees, officers, successors and assigns shall have any liability arising from, or related to, the Program or Program Offers. In no event shall Laurel Road be liable to you for any indirect, incidental, consequential, special or punitive damages arising from the Program and/or Program Offers or any other actions or omission by it, even if such party is informed or is otherwise aware of should be aware of the possibility or likelihood of such damages.  Laurel Road makes no warranty and hereby disclaims any and all representations or warranties, express or implied, regarding any subject matter contemplated by these Program Rules, including any implied warranty of merchantability or fitness for a particular purpose or implied warranties arising from the course of dealing or course of performance.
